Hill Wallack LLP Partner Henry Chou Speaks At International Business Opportunities Conference

Princeton, NJ September 15, 2014 — On Wednesday, September 10, 2014, Henry Chou, a partner in Hill Wallack LLP’s Princeton office, spoke at the International Business Opportunities Conference (IBOC). The conference, which was held at Forsgate Country Club in Monroe, New Jersey, was organized by the MIDJersey Center for Economic Development (MIDCED), a non-profit organization dedicated to fostering and accelerating growth in central New Jersey.

The IBOC focused on gathering international trade experts, business leaders and state officials to explore the fundamentals of exporting regional business products and services to strategic global markets. Mr. Chou spoke on the panel “Hottest Export Markets for New Business” where he discussed his experience representing U.S. companies investing in China. He gave an overview of U.S. foreign direct investment in China, the advantages of investing in China and the government approval process. Mr. Chou also discussed concrete examples of how local businesses based in Mercer and Middlesex Counties have successfully ventured across the Pacific.

The panel was moderated by Eddy S. Mayen, a State Department official who oversees the state’s international business strategy. Additional panel members included The Honorable Christian Rodriguez (Consul General, Colombia), The Honorable Ghafur Dharmaputra (Consul General, Indonesia), The Honorable George Monyemangene (Consul General, South Africa), Vered Nohi-Becker (Executive Director, Philadelphia-Israeli Chamber of Commerce), and William R. Healey (Senior Vice President, Altman Group).

The keynote speakers of the conference were Richard H. Bagger, a senior executive at Celgene, and New Jersey State Senate President, Stephen Sweeney. IBOC also featured two other panels, “Exporting: A Plan of Action,” moderated by BioNJ CEO Debbie Hart, and “Exporting: Success Stories,” moderated by Minister-Counselor Richard Steffens, who serves in the U.S. Embassy in Ottawa, Canada.

联邦上诉法院驳回了美国外国投资委员会否决中国投资美国风力电厂的决定

三一重工在美国的子公司拉尔斯公司(Ralls Corp.)最近在针对美国外国在美国投资委员会(简称“美国外资委,”英文简称“CFIUS”)的诉讼中赢得了重大的胜利。美国外资委是由多个政府部门联合组成的,负责审查由于外国企业对美国企业可能导致的控制而对美国国家安全产生的问题。美国外资委是由总统直接领导和监管的行政部门,拥有否决任何涉及外国企业收购美国企业的国际交易。2012年,美国总统奥巴马根据美国外资委的建议,签署了一项行政命令,因为拉尔斯公司在俄勒冈州收购的多个风力发电厂靠近美国海军的武器训练设施,阻止拉尔斯公司的收购交易。该命令称:“可靠的证据显示拉尔斯公司及其所有人可能采取损害美国国家安全的行动,”但是该命令没有提供这种威胁的实际证据。

拉尔斯公司对奥巴马提起了诉讼,称奥巴马的命令未能对其决定提出证据和解释,拉尔斯公司也没有机会回复奥巴马政府的顾虑。美国哥伦比亚特区上诉法院作出了对拉尔斯公司有利的裁决,程序正当性要求政府向外国公司提供政府在决策过程中所依据的未保密的证据,以及外国公司反驳这些证据的机会。

从历史上看,法院对于行政部门针对国家安全事务的决定给予相当大的自由裁量权。因此,美国外资委近年来对于涉及中国企业的交易进行非常严格的审查,包括在2012年对于双汇收购斯密菲尔德冗长的审查。美国外资委经过很长时间的耽搁后,最终批准了斯密司菲尔德的收购项目。这引发了对于美国外资委的决定受到政治因素而非国家安全因素影响的担心。整个斯密司菲尔德交易批准过程,包括美国国会关于中国控制美国的猪肉供应是否构成对美国国家安全的威胁所举行的听证会,引发众人抗议歧视。

此前,外国公司对于美国外资委的决定没有多少追索权。自此,拉尔斯公司的这一判决应当具有将政治和其他恣意的因素排除在美国外资委的决策过程之外的效力。这一判决将激发中国企业投资更多的美国产业,包括以前由于美国外资委的顾虑而避免的高科技行业。

美国国际贸易委员会同意对从中国进口的钢盘条进行反倾销调查

美国国际贸易委员会最近裁定从中国进口的碳素及合金钢盘条对美国相关产业造成了实质性损害。这一裁定为美国商务部继续调查该类进口产品扫清了道路。

美国的钢铁制造企业对于从中国进口的用于制造铁钉、倒刺铁丝以及围栏的廉价钢盘条积怨已久。从中国进口的这些产品数量已经从2011年的144吨增长到2013年的614,000吨,涉及总金额约3亿1千3百万美元。

今年年初,阿赛洛米塔尔钢铁集团美国分公司、纽克尔公司、查特钢铁、埃浮拉兹洛矶山钢铁公司、道美洲钢公司等6家美国主要钢铁企业提出了这项调查申请。他们称中国的钢盘条存在倾销行为,倾销幅度为99.32%至110.25%。同时,中国生产商收到政府补贴的幅度也超过允许的范围。

美国商务部将于2014年6月30日对中国政府的不正当补贴的幅度作出裁定,并将在2014年7月10日决定反倾销税的征收幅度。

该案将完全改变美国国内的钢铁市场。由于惧怕将来被追缴反倾销税,一些中国厂商已经撤消了二、三月份向美国进口商提出的要约。作为对美国的反倾销调查的回应,中国政府已经敦促美国政府避免贸易保护主义,共同维护自由、开放的国际贸易环境。

近年来,美国对从中国进口的产品的反倾销调查的案件数量呈持续增长趋势,并且在向以前不太受注意的行业蔓延。从中国进口产品的企业需要警惕美国商务部就相关产品改变关税以及征收惩罚性关税所作出的裁定。关注这方面的动态将帮助进口企业提早安排,避免不必要的高额进口关税。

Smithfield Shareholders Approve Shuanghui Takeover

On Tuesday, September 24, 2013, the shareholders of the U.S. pork giant Smithfield Foods voted by a margin of 96% to 4% to approve the acquisition of the company by Shuanghui International, a Chinese meat processing conglomerate.  The $7.1 billion deal, which includes $4.5 in cash and an assumption of $2.6 of Smithfield debt, represents the largest acquisition of a U.S. company by a Chinese company in history.

Smithfield-Shuanghui Deal Generates Unexpected Opposition

When first reported, the $4.7 billion acquisition of U.S-based Smithfield Foods by China’s Shuanghui International Holdings seemed like a win-win situation.  American shareholders of Smithfield looked forward to receiving substantial payouts, while Shuanghui seemed to have gained access to meat processing capabilities to help meet the massive demand for pork in China.

Unexpectedly, however, opposition to the deal has surfaced, with U.S. food safety advocates claiming Americans could end up eating pork raised in China, which has looser health and safety rules than the U.S., and U.S. hedge fund managers arguing that Smithfield could have been sold to an American private equity firm for more money.

Opponents of the deal, including a coalition of agricultural and consumer safety groups, have so far as to request the U.S. Committee on Foreign Investment in the United States (CFIUS) to block the deal.  It seems unlikely that CFIUS would block the deal, given that it usually only reviews transactions affecting national security, such as the transfer of sensitive technology that could be used for military purposes.

Nonetheless, the unexpectedly strong opposition to the transaction has gained the attention of politicians, who are exploring other avenues for blocking the deal.  Senator Debbie Stabenow (D-MI) and other lawmakers have asked the U.S. Food and Drug Administration and the Department of Agriculture to review the transaction.  It remains to be seen whether Shuanghui has the resolve to weather the political storm and complete the transaction.

三一重工的关联公司Ralls Corporation诉美国外国投资委员会的最新进展

三一重工的关联公司,Ralls Corporation,于2012年9月12日在美国联邦法院哥伦比亚地区法庭向美国外国投资委员会(“美国外资委”)和作为美国外资委主席的美国财政部长蒂莫西·盖特纳提起诉讼。Ralls的诉由是美国外资委要求Ralls停止进入项目场地并且停止一切项目经营和建设活动的命令违反行政程序法(Administrative Procedure Act)并且属于未经正当程序剥夺私有财产的违宪行为。在诉状中,Ralls要求法庭判决美国外资委的命令无效,不得执行。

Ralls诉美国外资委一案是在美国第一个直接挑战美国外资委依据国防生产法(Defense Production Act)作出的命令的有效性的案件。以下是该案的最新进展。

Ralls于2012年9月13日向法庭申请临时限制令和初步禁令,要求法庭停止美国外资委针对Ralls的有关命令的执行。美国外资委和Ralls于2012年9月19日达成某种协议,允许Ralls在收购的项目场地进行有限的初步活动。Ralls于同日撤销了临时限制令和初步禁令的动议。

奥巴马总统于2012年9月28日根据美国外资委的审查意见,签发了一项总统令,禁止Ralls的收购案并且要求Ralls放弃所有由收购获得的财产。总统令进一步要求Ralls停止在收购资产上的一切活动,搬离所有收购资产上的实物和建筑,并有条件出售或转让收购资产。

Ralls于10月1日修改了诉状,增加奥巴马总统为被告,继续在法庭的诉讼。被告必须在12月8日前答复Ralls的诉状。

2012年10月29日,被告以美国法院没有诉讼标的管辖权(“subject matter jurisdiction”)为由,向法庭提交要求法庭撤销原告案件的动议。被告称国会订立的国防生产法明确排除美国法院对于基于该法签发的总统令的司法审查,并主要基于该理由要求法院撤消原告的起诉。原告Ralls需要在11月12日提交反驳意见。该动议的听审定在2012年11月28日。

有关该案的调查取证暂时停止,诉讼各方等待法庭对于被告的动议做出裁决。该案是否会在此终结,我们会在11月28日后知晓。

中国在美国的直接投资将在2012年创新高

第二届中国海外投资峰会于八月在香港举行。超过40多个国家和地区的1200名政府官员、投资者和专家参加了为期两天的会议。和中国的走出去战略相呼应,会议的主题是“全球经济转型和中国海外投资新途径。”

Rhodium Group紧密跟踪中国在美国的直接投资。根据Rhodium Group的报告,美国自2000年共吸引中国直接投资209亿美元。来自中国的直接投资将在2012年创下最高纪录。自2006至2011年,中国在美国的直接投资每年增长72%。目前中国已经成为美国的第二大投资国。中国在美国的直接投资呈多样化趋势,并且深入美国的很多行业。中国企业逐渐加大在美国的投资,并为美国创造了许多就业机会。最新的大交易包括大连万达集团26亿美元收购美国院线连锁AMC,高级航空18亿美元收购Hawker Beechcraft,以及中石化25亿美元收购俄亥俄的Devon能源。

万象集团美国公司在美国有近6000名员工。万象美国的董事长倪频说“对中国的负面看法以及中美关系的紧张阻碍着中国企业到美国投资。”但是,这个看法并没有严重阻碍中国企业到美国来拓展。虽然美国的劳动成本相对较高,但是因为美国的效率高,所以总的成本相对比中国低。倪频在1994年在伊利诺州的家里建立了万象美国,最初作为万象集团在美国的销售点。现在万象美国在美国1个州有27个生产工厂,年产值达20亿美元,为美国主要汽车制造商提供零部件。

美国政府也在2011年通过SelectUSA项目来吸引投资、提高就业。该项目向全球投资者提供联邦政府对于外国投资的优惠政策。该项目也想全球投资者提供各个州的对于外国投资的相关优惠政策信息。该项目也帮助投资者解决在投资过程中涉及联邦法规,项目和动态等等问题。

除了中国国有企业,越来越多的私营企业,象海尔和联想,都在美国设立营销机构来拓展自己的品牌。他们主要挑战是学会如何符合复杂的法规,设计生产针对美国客户的产品。
